By accessing or using this site (www.medicalmediaimages.com) you enter into a legal agreement between you and Medical Media Images, (“MMI”) a division of Spineworld, LLC. “You” or the “Client” is defined as you or, if you are accepting on behalf of your employer or member account entity, then “you” means that employer or entity and affiliates. You agree to be fully bound by the Terms and Conditions of this Legal Agreement by accessing, downloading or using any service or content of this website. MMI may revise and update these Terms and Conditions at any time without notice. Please check this webpage periodically to review any updates to the present Agreement. You agree to accept any of these revisions or updates as a condition of continued and ongoing use of the site.

By using this website, www.medicalmediaimages.com you warrant that you are over the age of eighteen (18) and have the right and authority to agree to these terms. If you are accessing this site on behalf of a third-party or entity, you warrant that you have the authorization to accept the Terms and Conditions on behalf of the third-party or entity.

This site is wholly owned and operated by Medical Media Images, (MMI) as a branch of Spineworld, LLC. All elements of this website, including images, graphics, illustrations, text, video, metadata, design and other visual content are owned in full by MMI. MMI retains all rights not expressly granted by this agreement. Unless otherwise stated, the content of this website remains the exclusive property of MMI.

3. Intellectual Property/Copyright/Trademarks

For the purposes of this agreement, “Trademarks” means any all registered Trademarks, Tradenames, Domain Names, or Logos used by MMI. You may not use any MMI “Trademarks” without the express written consent of MMI.

All content of this website is protected by Copyright, Trademark, Patent, Trade Secret and other Intellectual Property laws. Any unauthorized use of this website’s content may violate such laws.

No rights to any “Trademarks” or Copyrights are granted by this provision, unless expressly conferred by the Terms and Conditions of Use or through a separate Licensing Agreement.

You agree not to contest or challenge any of the “Trademarks” owned by MMI. You may not remove any watermark content or copyright notices contained in the content of this website.

The materials downloaded under the terms of the Licensing Agreement are for your own non-commercial, personal or educational use. Intellectual Property rights such as MMI Copyrights may not be deleted from the licensed content of this site, including image metadata.

Derivative works or other exploitations of the content of this website are prohibited.

4. Authorized Use

The site and its content are intended for MMI customers only. You may not use this site for any purpose unrelated to business with MMI. Your use of the website content is contingent on you acceptance of the Terms and Conditions set forth in this document, as well as any Licensing Agreements you enter into or may enter into with MMI.

The right to use this site is non-exclusive and non-transferable, and can be revoked at any point in time at the sole discretion of MMI.

This site is intended for the educational, entertainment, and informational use of the user. Any other use of this site including any commercial purpose is prohibited without MMI’s express written approval.

5. Indemnity/Limited Warranty

The information provided on this website cannot be used for any diagnosis or treatment of a medical condition. Only a licensed physician can provide information on the diagnosis or treatment of a medical condition.
You assume all risk for the use of this website and its content including without limitation any of the information contained herein.
You agree to indemnify and hold MMI harmless against all claims or liability asserted against MMI arising out of a breach by you or someone acting on your behalf of any of the Terms of Use or Terms of any Licensing Agreement you have entered into with MMI.

The content and services of this website are provided under the Conditions and Terms of use “as is” without a warranty of any kind, either express, implied, statutory or otherwise. MMI provides no warranty for:

In no event shall MMI, its directors, members, employees, content suppliers of agents be liable for any incidental, direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of income, pain and suffering, emotional distress, loss of use, loss of profits, or data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of this site, the services, licensing agreements, the content or materials contained or accessed through the site, including without limitation any damages caused by or resulting from reliance by user on any information obtained from MMI, or that result from mistakes, omissions, interruptions, deletions of files or email, errors, defects, viruses, delays in operation or transmission or any failure in performance, whether or not resulting from acts of GOD, communications failure, theft, destruction or unauthorized access to MMI’s records, programs, or services, even if MMI has been advised of the possibility of such damages.

In no event shall the collective liability of the company and its licensors, content providers, agents, officers, board members, directors, whether in contract, warranty, tort (including negligence whether active, passive, or imputed), product liability, strict liability or other theory, arising out of or relating to the use of the website exceed any compensation you pay, if any, to MMI for access or use of the site.

MMI gives no rights or warranties with respect to the use of names, trademark, logo types, registered or copyrighted designs or works of art depicted in any content, and the licensee must satisfy itself that all necessary rights, consents of permission as may be required for reproduction are secured. MMI or its content suppliers used reasonable efforts to ensure the accuracy of the caption, release, and keyword information of the content, but shall not be held responsible for erroneous or incomplete caption, release, content, or keywords of information on the website.

User will indemnify and hold MMI, its directors, officers, licensors, content providers, service providers and contractors (the "Indemnified Parties") harmless from any breach of this Agreement by User, including any use of Content other than as expressly authorized in these Terms And Conditions. User agrees that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use, and agrees to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorneys' fees of the Indemnified Parties in connection therewith. User will also indemnify and hold the indemnified Parties harmless from and against any claims brought by third parties arising out of User's use of the information or content accessed from the Website.

6. Restrictions and Termination of Use/Takedown Notice

MMI may terminate or suspend your access to the website and content at any time at MMI’s discretion without prior notice.

If you believe that any content of this website infringes on a copyright either you or a third party owns, you agree to first provide a written Digital Millennium Copyright Act (“DMCA”) notice to MMI. You agree to recognize that medical images (MRI, X-Ray, CT scans, etc.) are frequently available as multiple copies from the original data storage and distribution source (e.g. PACS system). This can potentially lead to multiple sources of the same medical image without a definitive path to identify an original owner. In addition you recognize that Medical Images often carry a great degree of similarity without necessarily originating from the same source.

A valid DMCA takedown notice must contain the following information:

• An identification in sufficient detail of the copyrighted work you believe to have been infringed;

• An identification of the content that is alleged to be infringing (all items should be mentioned separately);

• Sufficient information to help Privateinernetaccess.com to locate the allegedly infringing content;

• Sufficient contact information to notify the reporting party of MedicalMediaImages.com’s response (please include a physical address, telephone number, and email address);

• The following statement: "I have a good faith belief that use of the copyrighted materials in the manner complained of is not authorized by the copyright owner, its agent, or the law.";

• An identification of the user who may be responsible for the infringing activity;

• The following statement: "I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.";

• A physical or electronic signature of the owner or their authorized agent; and

Invalid DMCA takedown notices. MMI does not wish to expend our resources on addressing and responding to invalid or incomplete notices of copyright infringement. Pursuant to 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material or activity is infringing or that that material or activity was removed or disabled by mistake or misidentification, shall be liable for any damages, including costs and attorneys’ fees, incurred by the alleged infringer, by any copyright owner or copyright owner’s authorized licensee, or by a service provider, who is injured by such misrepresentation, as the result of the service provider relying upon such misrepresentation in removing or disabling access to the material or activity claimed to be infringing, or in replacing the removed material or ceasing to disable access to it.

7. Privacy Policy/Data Protection

9. Miscellaneous

a. Unauthorized Use Fee
Any use of MMI’s Copyright, property, and content of this site in violation of the terms of this agreement entitles MMI to any rights and remedies available under the Copyright laws of the United States of America as well as any country wherein MMI was damaged. You agree to be responsible for any damages or retroactive licenses arising out of indirect, direct, or willful infringement including that of a third party.

b. Waiver/Jurisdiction/Legal Fees
Failure by MMI to enforce any of the provisions of this agreement does not constitute a waiver for future enforcements.

The present agreement is governed by the laws of the State of Colorado and the laws of the United States. You agree that the venue for all actions, controversies and disputes such as legal suits will be heard and decided exclusively in the State of Colorado.

In any legal dispute that may arise between you and MMI, MMI shall be entitled to recover its reasonable attorney fees, legal expert fees, and any other legal expenses from you.

c. Assignability
You agree that you may not transfer or assign to any third party the rights granted to you in the Terms and Conditions as well as any Licensing Agreements you may enter into with MMI, without prior written consent by MMI.
